User Agreement

1. General Provisions

Eloquium provides services to you in accordance with the following terms of service. These terms may be updated by Eloquium at any time without prior notice. Once the Eloquium Terms of Use (hereinafter referred to as "Terms of Use") are changed, Eloquium will publish the modified content on the webpage. The modified Terms of Use will effectively replace the original Terms of Use once published on the webpage.

Before using the various services provided by Eloquium, you should carefully read these Terms of Use. If you do not agree to these Terms of Use and/or any modifications made to them at any time, please immediately stop using all services provided by Eloquium. Once you use Eloquium services, you are deemed to have understood and fully agreed to all contents of these Terms of Use, including any modifications made by Eloquium to the Terms of Use at any time, and become an Eloquium user (hereinafter referred to as "User").

2. Service Description

Eloquium currently provides the following services to users: a retro-style radio application that provides various types of online radio stations, retro radio operation experience, radio collection and management, high-quality audio stream playback, and other functions. Unless these Terms of Use expressly provide otherwise, any new features added to or enhanced in the current service, including newly launched products, are subject to these Terms of Use. You understand and agree that this service is provided only in its current state. Eloquium assumes no responsibility for any issues with user information or personalized settings, including but not limited to timeliness, deletion, transmission errors, failure to store, or any other problems. Eloquium reserves the right to suspend any part of this service for maintenance, upgrades, or other purposes without prior notice.

3. Compliance with Laws

You agree to comply with all provisions of applicable laws and regulations and assume full responsibility for any actions and their consequences that use your password and account to use this service in any way. If your actions violate any provisions of applicable laws and regulations and may constitute a crime, you will be subject to criminal liability and bear all legal responsibilities.

At the same time, if Eloquium has reason to believe that any of your actions, including but not limited to any of your statements and other actions, violate or may violate any provisions of applicable laws and regulations, Eloquium may terminate the provision of services to you at any time without any prior notice.

4. Your Registration Obligations

In order to use this service, you agree to the following: According to the registration prompts of this service, you may log in through Apple account authorization. After logging in, you can set personal information such as nickname and avatar. Please ensure that the information you provide is true and lawful. If you provide any illegal, immoral, or information that Eloquium deems unsuitable for display on Eloquium; or if Eloquium has reason to suspect that your information belongs to programs or malicious operations, Eloquium has the right to suspend or terminate your account and refuse you to use all or any part of this service now and in the future.

Eloquium is not required to assume any responsibility for any registration information of any user, including but not limited to the responsibility to identify and verify the authenticity, correctness, completeness, applicability, and/or whether it is the latest information of any registration information.

5. User Account, Password, and Security

After completing the registration process of this service and successfully registering, you can use your Apple account to log in to your Eloquium account (hereinafter referred to as "Account"). Protecting the security of your account is your responsibility. You are fully responsible for all activities that use your password and account. You agree:

  1. If your Eloquium account is used without authorization or any other security issue occurs, you will immediately notify Eloquium;
  2. If you do not keep your account and password safe, Eloquium cannot and will not assume any responsibility for any losses or damages arising therefrom;
  3. Each user is fully responsible for all actions and events in their account. If you do not keep your account and password safe and cause damage to you, Eloquium, or third parties, you will bear full responsibility.

6. Eloquium Privacy Policy

The registration information you provide and other information about you retained by Eloquium will be subject to applicable privacy laws and regulations and this company's "Privacy Policy".

7. Provider's Responsibility

According to relevant laws and regulations, Eloquium hereby solemnly reminds you that any radio content played or listened to through this service (hereinafter referred to as "Content") shall be the responsibility of the content provider. Eloquium only provides users with radio playback services and cannot control the content played through this service. Therefore, it does not guarantee the correctness, completeness, or quality of the content. You have anticipated that when using this service, you may encounter unpleasant, inappropriate, or disgusting content. Under any circumstances, Eloquium is not responsible for any content, but Eloquium has the right to stop transmitting any of the aforementioned content in accordance with the law and take corresponding actions, including but not limited to suspending users' use of all or part of this service, saving relevant records, and reporting to relevant authorities.

8. User Conduct

Users agree not to use this service for any illegal or improper activities, including but not limited to the following behaviors:

  1. Publishing or transmitting information containing any of the following content in other ways:
    • Opposing the basic principles established by the constitution;
    • Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
    • Damaging national honor and interests;
    • Inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity;
    • Undermining national religious policies, promoting cults and feudal superstitions;
    • Spreading rumors, disrupting social order, or undermining social stability;
    • Spreading obscenity, pornography, gambling, violence, murder, terrorism, or inciting crime;
    • Insulting or defaming others or infringing upon the legitimate rights of others;
    • Containing false, fraudulent, harmful, coercive, infringing upon others' privacy, harassing, infringing, slandering, vulgar, obscene, or other morally offensive content;
    • Containing content restricted or prohibited by applicable laws, regulations, rules, regulations, and any other legally effective norms;
    • Containing content that Eloquium deems unsuitable for display;
  2. Harming the legitimate rights and interests of others in any way;
  3. Impersonating any other person or institution, or falsely stating or claiming to be related to any person or institution;
  4. Publishing, sending emails, or transmitting in other ways any content that is known but not authorized to be transmitted based on any law, contract, or legal relationship (such as internal information, proprietary and confidential information known or disclosed due to employment relationships and confidentiality contracts);
  5. Publishing or transmitting in other ways content that infringes upon others' copyrights, patent rights, trademark rights, trade secrets, or other exclusive rights (hereinafter referred to as "Exclusive Rights");
  6. Publishing, sending, or transmitting in other ways any advertising letters, promotional materials, "spam", "junk mail", "chain letters", "direct sales", or other forms of solicitation materials;
  7. Publishing, sending, or transmitting in other ways any materials designed to interfere with, destroy, or limit the functions of any computer software, hardware, or communication equipment, such as computer viruses or other computer codes, files, and programs;
  8. Interfering with or destroying this service or servers and networks connected to this service, or violating any regulations, procedures, policies, or norms regarding the network connection of this service;
  9. Stalking, doxxing, or harassing others in other ways;
  10. Intentionally or unintentionally violating any applicable local or national laws, as well as any legally effective rules;
  11. Intercepting, tampering with, collecting, storing, or deleting others' personal information, internal messages, or other data without legal authorization, or using such information obtained for any illegal or improper purposes;
  12. Unauthorized recording, copying, redistribution, or commercial use of radio content played through this service.

You have acknowledged that Eloquium does not fully control users' usage behavior. When you use any content, including relying on the correctness, completeness, or practicality of the aforementioned content, you agree to make your own judgment and bear all risks without relying on Eloquium. However, Eloquium, at its own discretion, may refuse and delete any content provided through this service that violates these terms or otherwise causes Eloquium to object.

You understand and agree that Eloquium may preserve or disclose content when it is required by laws and regulations, or when it is necessary in good faith for the following purposes or within a reasonable and necessary scope:

  1. Complying with legal procedures;
  2. Enforcing these Terms of Use;
  3. Responding to any claims of rights raised by any third party;
  4. Protecting the rights, property, or personal safety of Eloquium, its users, and the public;
  5. Other circumstances that Eloquium deems necessary.

9. Special Warning for International Use

You have understood the borderless nature of the international Internet and agree to comply with all local laws and regulations regarding online behavior and content. You specifically agree to comply with all applicable laws and regulations regarding the transmission of information exported from your country or region.

10. Disclaimer

  1. Users explicitly agree that they bear all risks that they may encounter inappropriate, inaccurate, or unpleasant content when using this service to listen to radio content. They also bear all consequences arising from their use of Eloquium services, and we assume no responsibility for users.
  2. Radio content is provided by third-party content providers. Eloquium is not responsible for the accuracy, completeness, legality, or quality of such content.
  3. Due to factors such as network connections, server status, and content provider services, radio playback may experience interruptions, delays, or inability to play. Eloquium assumes no responsibility for this.

11. Indemnification

Due to the content you provide, publish, or transmit through this service, your connection to this service, your violation of these Terms of Use, or your infringement of any rights of others, which results in or causes any third party to make any claims or requests, including reasonable attorney fees, you agree to indemnify Eloquium and its subsidiaries, affiliated companies, senior officers, agents, brand co-owners, or other partners and employees, hold them harmless, and bear all legal responsibilities arising therefrom.

12. Prohibition of Commercial Activities

You agree not to copy, duplicate, sell, resell, or use any part of this service or the use or acquisition of this service for any other commercial purpose.

13. General Measures Regarding Use and Storage

You acknowledge that Eloquium has the right to establish general measures and restrictions regarding the use of this service, including but not limited to the maximum period during which this service will retain published content or other published content, and the maximum number of times you can use this service within a certain period (and the maximum time for each use). For any information, communication materials, and other content published or transmitted through this service, if it is deleted or not stored, you agree that Eloquium assumes no responsibility. You also agree that Eloquium has the right to change these general measures and restrictions at any time at its own discretion, with or without notice.

14. Modification of Service

Eloquium has the right to temporarily or permanently modify or terminate this service (or any part thereof) at any time, with or without notice. You agree that Eloquium assumes no responsibility to you or any third party for any modifications, suspensions, or terminations made to this service.

15. Termination of Service

You agree that Eloquium may, at its own discretion, for any reason, including but not limited to lack of use, or if Eloquium believes that you have violated the letter and spirit of these Terms of Use, terminate your account or your use of this service (or any part of the service), and remove and delete any content you have in this service. You agree that the service provided in accordance with any provision of these Terms of Use may be interrupted or terminated without prior notice. You acknowledge and agree that Eloquium may immediately close or delete your account and all related information and files in your account, and/or prohibit continued use of the aforementioned files or this service. In addition, you agree that if the use of this service is interrupted or terminated, or your account and related information and files are closed or deleted, Eloquium assumes no responsibility to you or any third party.

16. Transactions with Advertisers and Other Third Parties

Any form of communication or business dealings you have with advertisers and other third parties through this website, or your participation in promotional activities, including payment and delivery of related goods or services, and any other related terms, conditions, warranties, or statements reached, are entirely between you and the advertisers and other third parties. Eloquium assumes no legal responsibility for any losses or damages of any nature you suffer due to any of the aforementioned transactions or the aforementioned advertisers and other third parties.

17. Exclusive Rights of Eloquium

You understand and agree that this service and the related software used by this service (hereinafter referred to as "Software") contain proprietary confidential information protected by relevant intellectual property rights and other laws. You also understand and agree that the content contained in sponsored advertisements or information presented to you through this service or advertisers is also protected by copyright, trademark, patent, or other exclusive rights. Without the express authorization of Eloquium or advertisers, you may not modify, rent, lend, sell, distribute any part or all of this service or software, create derivative works based on it, or use illegally modified software, including but not limited to for the purpose of unauthorized use of this service. Eloquium only grants you a personal, non-transferable, and non-exclusive right to use, enabling you to use the object code of its software on a single computer, but you may not (and may not allow any third party to) copy, modify, create derivative works, reverse engineer, reverse compile, or otherwise discover the source code, or sell, transfer, sublicense, or provide software setting guarantees, or otherwise transfer any rights of the software. You agree to use this service through the interface provided by Eloquium rather than through any other means.

18. Warranties and Guarantees

You explicitly understand and agree:

  1. No provision of these Terms of Use will exempt Eloquium from any liability for personal injury to you or property damage caused by intentional or gross negligence;
  2. You bear the risk of using this service. This service is provided on an "as is" and "as available" basis. Eloquium does not provide any express or implied warranties or guarantees for this service, including but not limited to warranties or guarantees of merchantability, fitness for a particular purpose, and non-infringement of others' rights;
  3. Eloquium does not guarantee the following:
    • This service will meet your requirements;
    • This service will be uninterrupted, timely, secure, reliable, or error-free;
    • The results obtained from using this service are correct and reliable;
    • Any products, services, information, or other information you purchase or obtain through this service will meet your expectations;
  4. Whether to use this service to download or obtain any materials should be considered by you at your own risk. Any damage to your phone or data loss caused by downloading any materials shall be borne by you;
  5. Any advice or information you obtain from Eloquium or through this service, whether written or oral, unless expressly provided in these Terms of Use, will not constitute any warranty beyond these Terms of Use.

19. Limitation of Liability

You explicitly understand and agree that Eloquium shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to profits, reputation, applications, data loss, or other intangible losses, caused by the following reasons:

  1. Use or inability to use this service;
  2. Costs incurred to replace any goods, data, information, services, messages received, or transactions concluded purchased or obtained from or through this service;
  3. Unauthorized access or alteration of your transmission or data;
  4. Statements or actions of any third party in this service;
  5. Other matters related to this service, except as expressly provided in these Terms of Use;
  6. Eloquium assumes no responsibility if third parties publish or deliver fraudulent information in any way or induce users to suffer economic losses.

20. Eloquium Trademark Information

Without the prior written consent of Eloquium, you agree not to display, use, or otherwise handle Eloquium and other Eloquium registered trademarks, logos, and product and service names in any way, or indicate that you have the right to display, use, or otherwise handle them.

21. User Exclusive Rights

Eloquium respects the intellectual property rights of others and calls on users to also respect intellectual property rights.

Eloquium's services and materials are provided on an "as is" basis, and Eloquium expressly disclaims any express or implied warranties for "services", "materials", or "products", including but not limited to warranties that they may be used for commercial purposes or are suitable for specific purposes. Eloquium is not responsible for any direct, indirect, incidental, or consequential losses arising from "services", "materials", or "products".

If you infringe upon the intellectual property rights of others, Eloquium will, in accordance with applicable laws and regulations, or under appropriate circumstances, delete specific content or terminate your use of the account in accordance with its terms of service or related regulatory provisions.

Eloquium respects any rights of others (including intellectual property rights) and also requires our users to respect the rights of others. Eloquium may, at its discretion, terminate the accounts of users who infringe or violate the rights of others.

If you believe that the copyright of your work has been infringed or your intellectual property rights have been violated, in accordance with applicable laws and regulations, you need to contact Eloquium in a timely manner and provide detailed evidence. You can also report to the corresponding copyright management agency or law enforcement department in accordance with the relevant laws and regulations of your country or region, and handle it in accordance with local legal procedures.

22. User Account Protection

If you report that your account has been stolen, hacked, or other abnormal situations occur, or if we find that your account has signs of being stolen, shared, or abused, or other abnormal situations, in order to prevent your account from being illegally infringed, we will investigate your account and, depending on the circumstances, take protective measures against your account during the investigation (including but not limited to temporarily freezing the account). Please submit relevant materials according to our guidance to cooperate with our investigation so that we can lift the protective measures on your account as soon as possible.

23. General Terms

  1. These Terms of Use and Privacy Policy constitute the entire agreement between you and Eloquium and govern your use of this service. When you use related services, use content or software provided by third parties, you should also comply with the applicable additional terms and conditions;
  2. These Terms of Use and your relationship with Eloquium are governed by applicable laws. Any disputes between you and Eloquium regarding this service, these Terms of Use, or other related matters shall first be resolved through friendly negotiation. If negotiation fails, they shall be handled in accordance with applicable laws and regulations and dispute resolution mechanisms;
  3. Eloquium's failure to exercise or enforce any right or provision of these Terms of Use does not constitute a waiver of such right or right;
  4. If any provision of these Terms of Use is invalid due to conflict with applicable laws and regulations, you still agree to make efforts in accordance with the law to make the intention of the parties reflected in such provision effective, and other provisions of these Terms of Use shall still have full force and effect;
  5. The headings in these Terms of Use are for convenience only and have no legal or contractual effect;
  6. As long as you log in to Eloquium, you acknowledge all the above agreements.

24. Age Restriction

You represent and warrant that you are at least 13 years of age. If you are under 13 years of age, you may not use this service. If you are under 18 years of age, you should read these Terms of Use with your parent or legal guardian and use this service with their consent and under their guidance.

Refund Policy

This refund policy for automatic renewal services after the free trial of Eloquium Premium membership (the "Refund Policy") is formulated based on users' consent to and use of the Eloquium Premium membership free trial service. This policy is formulated to avoid losses caused by members' failure to cancel automatic renewal services in time due to negligence or other reasons after the free trial membership service expires.

1. Definitions

  1. Free Trial Member: refers to a subject who complies with the "User Agreement" and "Privacy Policy", voluntarily tries the free trial membership service launched by Eloquium (as defined below), and after the free trial service expires, automatically deducts the membership fee for the next billing cycle through subscription to automatic renewal service and is in the first automatic renewal billing cycle membership.
  2. Free Trial Membership Service: refers to the Premium membership free trial service launched by Eloquium.

2. Scope of Application of Refund Policy

The applicable objects of this refund policy include:

  1. Free trial members applying for a refund within the first automatic renewal billing cycle;
  2. Paying members applying for a refund within the scope permitted by applicable laws or platform policies.

For Eloquium Premium members who actively pay for non-automatic renewal, refunds will be processed in accordance with applicable laws and platform policies.

3. Calculation of Refund Amount

  1. The refund under this refund policy only applies to the membership fees involved from the date the free trial member applies for a refund to the last day of that billing cycle. For membership fees involved from before the date the free trial member applies for a refund to the start date of the next billing cycle automatically deducted by the automatic renewal service, regardless of whether the free trial member has used the Eloquium Premium membership service during this period, Eloquium will not refund.
  2. The refund amount involved in this refund policy will be refunded to you proportionally based on the remaining whole days in the billing cycle period in which the free trial member is located. The specific calculation method is the actual membership fee paid by the free trial member divided by the number of days in the billing cycle multiplied by the sum of the number of days from the date the free trial member applies for a refund to the last day of that billing cycle.
  3. The refund amount under this refund policy shall not exceed the actual membership fee paid by the free trial member (equal to the membership fee for the next cycle deducted when the free trial member automatically renews).

4. Refund Payment Method

The refund method under this refund policy is to refund through the original payment channel, that is, from the payment channels authorized and bound by the free trial member, including but not limited to: WeChat, Alipay, Baidu Wallet, telecom operator collection, Tenpay, etc.

5. Refund Application

Free trial members should apply for a refund within the billing cycle of the first automatic renewal service automatic deduction according to the prompts in the Eloquium software or send an email to support@mfasta.com. Refund applications will be processed within 15 business days. At the same time, free trial members should cancel the subscription to automatic renewal service according to the corresponding rules of the Android or Apple platform (depending on the usage situation).

If a free trial member does not apply for a refund within the billing cycle of the first automatic renewal service automatic deduction, Eloquium will consider it as a waiver of the refund.

6. Supplementary Provisions

Due to the rapid development of the Internet, the terms listed in this refund policy cannot fully enumerate and cover all rights and obligations between you and Eloquium, and are subject to the current effective and updated subscription service related policies of Android and Apple platforms. The existing agreements cannot fully guarantee that they meet the needs of future development. Eloquium may modify this agreement from time to time according to changes in applicable laws and regulations and the subscription service related policies of Android and Apple platforms, as well as the need to maintain service order and protect member rights and interests. The modified agreement (hereinafter referred to as "Change Matters") will be notified to you through legal or agreed procedures and will take effect in accordance with the law.
